Terms governing use of the ToCan Analytics website and general enquiries about our software-development services.

1. Acceptance of these Terms

These Terms of Service (“Terms”) govern your use of tocananalytics.com and general enquiries, discussions, proposals, or software-development services provided by ToCan Analytics. Any separate written proposal, statement of work, contract, or service agreement agreed with a client will take precedence over these website Terms to the extent of any conflict.

2. Nature of our services

ToCan Analytics provides custom software development, quantitative technology, trading-system engineering, API integration, automation, backtesting infrastructure, market-data tooling, risk-system development, and related technical services.

We are an independent software developer. We are not a broker, exchange, investment adviser, portfolio manager, fiduciary, or custodian, and we do not hold or manage client funds or securities.

3. No investment advice or performance guarantee

Information on this website and software-development discussions are provided for technical and informational purposes only and do not constitute investment, financial, legal, tax, or trading advice.

Trading and investing involve risk, including possible loss of capital. Backtests, simulations, research results, examples, technical demonstrations, or historical behaviour do not guarantee future performance. ToCan Analytics does not guarantee profitability, returns, trading outcomes, system uptime, execution quality, or the absence of losses.

4. Client responsibility

Clients are responsible for determining whether any strategy, instrument, broker, exchange, API, order type, leverage level, or trading activity is suitable and lawful for them. Clients remain responsible for their trading decisions, credentials, accounts, positions, orders, capital, regulatory obligations, and risk controls unless a separate written agreement expressly states otherwise.

5. Third-party brokers, APIs and platforms

Our software may integrate with third-party brokers, exchanges, data providers, APIs, cloud services, or other platforms. Those services are controlled by their respective providers and may change, fail, restrict access, impose limits, experience outages, or modify their APIs without notice.

ToCan Analytics is not responsible for losses, delays, rejected orders, market-data errors, outages, API changes, account restrictions, or other events caused by third-party systems or services.

6. Interactive Brokers independence statement

ToCan Analytics is an independent software development company and is not affiliated with, endorsed by, sponsored by, or an agent of Interactive Brokers LLC or its affiliates. References to Interactive Brokers, IBKR, Trader Workstation (TWS), IB Gateway, or related APIs describe third-party products or integration capabilities only. All third-party names and trademarks belong to their respective owners.

7. Project scope and engagements

Submitting a mandate brief or contacting us does not create a client relationship, obligation to accept a project, or guarantee that we will provide services. Project scope, deliverables, fees, milestones, intellectual-property rights, support, warranties, acceptance criteria, and payment terms will be governed by the applicable written proposal, statement of work, or contract.

8. Software risk and testing

Custom trading software can contain defects, behave unexpectedly, or be affected by market conditions, connectivity failures, incorrect configuration, data-quality problems, broker behaviour, operating-system changes, infrastructure failures, or third-party dependencies. Clients should independently test software, use paper or simulated environments where appropriate, implement suitable monitoring and limits, and supervise live deployment.

9. Intellectual property

Unless otherwise agreed in writing, the website, branding, text, graphics, underlying materials, and reusable know-how of ToCan Analytics are protected by applicable intellectual-property laws. Client-specific ownership and licensing terms for software deliverables will be defined in the applicable written agreement.

10. Acceptable use

You may not misuse this website, attempt unauthorised access, interfere with its operation, introduce malicious code, impersonate another person or organisation, or use our services in violation of applicable law or third-party rights.

11. Disclaimer of warranties

To the maximum extent permitted by applicable law, the website and general website content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. Specific warranties, if any, relating to paid client deliverables will be governed exclusively by the relevant written agreement.

12. Limitation of liability

To the maximum extent permitted by applicable law, ToCan Analytics will not be liable for indirect, incidental, special, consequential, exemplary, or speculative losses arising from use of this website or reliance on its general content, including loss of profits, trading losses, loss of opportunity, loss of data, or business interruption. Liability relating to paid client work will be governed by the applicable written agreement.

14. Changes to these Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated “Last updated” date.
